"User" or "you" refers to any natural persons who access and use the Site.
“PwC”, “we”, “us” and “our” refer to PricewaterhouseCoopers Zhong Tian LLP
“PwC Firm” refers to an entity or partnership within the worldwide network of PricewaterhouseCoopers firms and entities, each of which is a separate and independent legal entity.

Your agreement
- By clicking “I accept”, you agree to be bound by these terms without modification or variation (“Terms”). The Terms constitute a legally binding agreement between you and PwC for the use of the Site. If you do not agree to be bound by the Terms in their entirety, please do not proceed any further and exit this Site and.
- Notwithstanding any other contrary agreement, the contractual relationship established under the Terms solely exists between you and PwC. Other PwC Firms only liaise with you on behalf of PwC.
- No services will actually be performed by PwC through the Site.

Access to the Site
- In accessing and using the Site, you represent that you are authorised to do so. PwC reserves the right, acting at its sole discretion, to accept, reject or cancel your ability to access and use the Site.
- You will be required to enter your username and password every time you wish to access the Site. Your username and password are personal to you and non-transferable. You are responsible for all use of the Site made using your username and password, regardless of the identity of the person making such use. PwC or other PwC Firms will not have any responsibility or liability in connection with any unauthorized use of the usernames, passwords or the Site. If you become aware of a breach of security with respect to your password or of any other breach of security, you will immediately notify PwC.

Using the Site
- You may only use this Site (i) for your own internal and lawful purposes (and not for offering goods/ services to any third parties) and (ii) in accordance with these Terms and other instructions issued by PwC from time to time. Rights granted herein are non-exclusive, non-sublicensable and non-transferable.
- You must not, or authorize any third party to, do any of the following with respect to the Site:
- use or extract from any offers, goods or services available on the Site to provide or develop any database or similar resource, or other software, product or services, or a component of any of the foregoing, that is offered to a third party or for commercial distribution of any kind;
- except as permitted by law, copy, modify, adapt, work around, by-pass, create derivative works from, reverse engineer, decompile, disassemble, publish, distribute, sell, rent, lease, loan, sublicense or otherwise make available in any forms or by any means (i) the Site (or any part thereof) or (ii) the underlying data, database, platform, software, systems or computer programs used to operate or host the Site;
- use, or misuse, the Site in any way which may impair the functionality of the Site;
- attempt to undermine the security or integrity of PwC’s computing systems or networks, or where the Site hosted by a third party, that third party’s computing systems and networks;
- use the Site to store information, text, photos, images, or material (“Content”). You are responsible for keeping copies of any Content you upload to or download from the Site. Where you are using the Site as a demo user or a proof of concept user for a free trial period, you should not post or submit any live, production data on the Site;
- make available any Content which use on the Site (i) is unauthorised or illegal, or (ii) causes harm/damage or any kind, or (iii) infringes or misappropriates any third party right or interest, or (iv) is likely to be perceived as defamatory, misleading, offensive or otherwise inappropriate, or containing state secrets and military data;
- breach any restrictions on the use of any Content or the intellectual property, confidentiality, privacy or other rights/interests of PwC or anyone else;
- seek to circumvent access or security controls or otherwise threaten the security of the Site (e.g. hacking, introduction of viruses, malicious code or other harmful elements, denial of service, attempting to render the Site inaccessible, or interfering with other users' use of the Site);
- link to the Site from any website without PwC’s prior written consent;
- log-in or access or use your account or the Site through or on any unsuitable systems (e.g. any third party software, plug-in, add-on, mirror sites, tools, or systems that are not developed or authorized by PwC/ any automated bots, software, engines, crawlers, scrapers, data mining tools or the like);
- remove, modify, obscure, or alter any program markings or notices (including but not limited to any disclaimers, copyright, trade mark, confidentiality, or other legal notices or other notices of proprietary rights), irrespective of whether such markings or notices are those of PwC or any other third parties as may be specified in or on the Site.
- In relation to the Contents you submit, post or transmit to the Site :
- PwC cannot and will not undertake to approve or endorse any Content placed by you or by other users of the Site. Notwithstanding the foregoing, PwC reserves the right to remove any of your Contents immediately without notice if any of it is likely to impair, interfere or threaten the security, technological controls, load, operation and/or integrity of the Site. PwC will not be responsible or liable to you for such actions;
- You warrant that you are authorised to post and submit Content on the Site and that you have sought all necessary consents to do so;
- You acknowledge that the Site is not intended as a permanent repository for any Content placed onto it and that PwC will not retain any Content for longer than is required for operational purposes and to ensure compliance with applicable laws. PwC will not be responsible or liable to you for any deletion of or termination of access to your Contents;
- You shall ensure that the Content submitted or provided is authentic, accurate and complete, and to update in time when the Content is changed. If the Content submitted or provided is inaccurate, untrue, unlawful, or if PwC reasonably suspects that it is the case, you may not be able to use the Site or may have limited use of the function(s).
- You acknowledge that the Site and any data contained therein is hosted in mainland China. If your use of the Site would involve transferring and storing data outside the country or region where you are located, e.g. .from other territories to mainland China, you shall be solely responsible for complying with any local legal and regulatory requirements in terms of such cross-border transfer of data.

Intellectual property
- You acknowledge that you have no rights of ownership of the Site. All rights, title and interest in or to the Site (including all Intellectual Property Rights), except with respect to the Content placed on the Site and by you, are the property of PwC or its licensor. You acknowledge such ownership and intellectual property rights, and will not take any action to jeopardize, limit or interfere in any manner with PwC’s ownership of, or rights with respect to the same.
- Third-party materials, software or technology (including open source software) (“Third Party Materials”) maybe used or adopted in the Site. The relevant information of these Third Party Materials and their relevant license terms are stipulated on the open source software information page and/or the third party notice page of the Site. You acknowledge and agree that your use of such Third Party Materials will be subject to the license terms of applicable Third Party Materials. PwC grants no license regarding the use of such Third Party Materials.
- If any dispute arises from the use of the Third Party Materials, such third party shall be responsible for resolving the dispute. Subject to applicable laws and to the maximum extent permitted by applicable laws, PwC shall take no obligation or responsibility for such Third Party Materials under the Terms. When using any Third Party Materials adopted in the Site, you guarantee that you will not, and will not authorize any third party to, use the Site in the way which may result in the distribution, making public or making available to the public of the Site (or any part of it), either for value or for free, no matter in source or in other forms specified in the relevant software license terms, or in any other copyright form or otherwise subject to any copyleft obligations.

Liability for the Site
- To the maximum extent permitted by applicable law, PwC and other PwC Firms and their respective partners directors and employees, disclaim and exclude all warranties, statements, conditions and other terms regarding the Site, whether express, implied or statutory, including but not limited to any warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, non-interference, error-free, free from bugs or virus or other harmful elements, and uninterrupted service. The Site (including any data contained therein) and confidential information provided to you hereunder are provided “as is” and “as available”.
- To the maximum extent permitted by applicable law, PwC and other PwC Firms and their respective partners directors and employees will have no liability for any damages or loss whatsoever, whether direct or consequential, special, incidental or indirect (including without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of downloading, use of or inability to use the Site, even if PwC, other PwC Firms or any of their respective partners, directors or employees has been advised of the possibility of such damages.
- To the maximum extent permitted by applicable law, you agree to defend (at the indemnified party’s option), indemnify and hold PwC and other PwC Firms and their respective partners directors and employees, harmless from and against any and all losses, damages, liabilities, costs (including reasonable legal fees) and expenses in connection with any claim arising out of or in connection with any Content posted or transmitted by you using the Site or that otherwise arise out of your use of the Site or that of any other third party who is given or gains access to the Site and through your action or omission.

Privacy and monitoring
- By using the Site, you agree that PwC may collect and use and transfer your personal data in accordance with the Privacy Statement made available in the Site at https://pwctalentportal.avature.cn/events/PrivacyPolicy
- PwC reserves the right, but does not have an obligation, to monitor your use of the Site and Content placed on the Site from time to time. Where PwC monitors, it will do so in accordance with applicable law. When PwC notices, or a third party notifies PwC that such third party believes, that any Content submitted by you or by other users of the Site violates applicable laws or regulations or the Terms, or violates, infringes any third party’s right or interest, or as required by law, regulation, court or competent authority, PwC may take one or more actions as follows with or without prior notice: (1) reject to publish any Content for you; (2) suspend all or part of the functions of the Site to you; (3) delete any Content submitted by you to the Site; (4) block your access to the Site; (5) deactivate your account; and/or (6) report to the competent authorities.
- PwC reserves the right to disclose any information as necessary to satisfy any law, regulation, court or governmental authority orders.
- If providing your true identification information is required according to relevant laws and regulations, please complete the real name authentication in accordance with relevant laws and regulations and make sure such information is authentic, accurate, complete and up to date.
- You agree and authorize that PwC can, based on the mobile phone number and other information you provided, conduct inquiry of user’s identity authenticity with public security authorities, telecommunication operators, and other relevant organizations or institutions if applicable.
- The Site shall not be used as a substitute to consultation with professional tax, accounting, legal or other suitably qualified advisors. Before making any decision or taking any action, you should consult with PwC or an applicable professional advisor who has been provided with all pertinent facts relevant to your particular situation. Given the changing nature of laws, rules and regulations and the inherent hazards of electronic communication, there may be delays, omissions or inaccuracies in the information presented on this Site.

Downtime, data loss and security
- You acknowledge and accept that your use of the Site is subject to the risks inherent in any connection and transmission on the internet, in particular in relation to security risks and vulnerabilities, technical performance and risk of interruption. Accordingly, PwC or other PwC Firms shall not be liable to you in any circumstances for any losses or damages caused by disruption or failure of internet networks or for any interruptions to or restrictions on the accessibility of the Site arising for any reason, including, but not limited to, by reason of a virus, security related vulnerability, or technical or operational failure of any nature.
- You understand and agree that the Site may be unavailable due to scheduled maintenance. PwC reserves the right to prevent or limit access to the Site for security, upgrades or other purposes.

Term and termination
- PwC may terminate the Terms for convenience without penalty at any time by giving you such written notice of such termination as is specified in the Terms.

- PwC may terminate or suspend the use of the Site to you, destroy any Content placed by you on the Site, and/or block your access to the Site any time and for any reason, including without limitation, if you breach the Terms and where PwC is required by law or order of any court or regulatory agency to do so.
- All terms and conditions of the Terms that are intended by their nature to survive termination of the Terms shall survive termination and remain in full force, including without limitation, the terms and conditions concerning any disclaimers, intellectual property rights, duties of confidentiality, limitations of liability, duties of indemnification, warranties and provisions regarding resolution of differences. Although each party's further rights and obligations cease immediately on termination of the Terms, termination does not affect a party's accrued rights and obligations at the date of termination.

Governing law and jurisdiction
The law of the People’s Republic of China will govern the Terms. Any dispute arising from or in connection with the Terms shall be submitted to China International Economic and Trade Arbitration Commission in Beijing for arbitration which shall be conducted in accordance with the commission’s arbitration rules. The arbitral tribunal shall consist of three arbitrators who shall be appointed in accordance with the commission’s rules. The arbitral award shall be final and binding upon both parties.

General
- These Terms will apply on each occasion you access the Site, however PwC may amend the Terms at any time. Upon posting the amended Terms, they will be automatically effective and binding on you. If you do not wish to accept such amendment, you may terminate your use of the Site. All subsequent access and use of the Site will be subject to such amended Terms of use. These Terms may not be otherwise amended.
- If any provision of these Terms is found by an arbitral tribunal of competent jurisdiction or other competent authority to be invalid, unlawful or unenforceable, then the provision (or part thereof) will be severed from the remainder of the Terms which will continue to be valid and enforceable to the fullest extent permitted by applicable law.
- You may not assign, transfer, change or otherwise seek to deal with any rights or obligations under these Terms without the prior written consent of PwC. PwC may assign these Terms without your prior consent.
- No right under these Terms or breach hereof may be waived except in writing signed by the parties hereto. The failure of either party to require performance of any provision of the Terms will not be construed as a waiver of such party’s rights to insist on performance of such provision or any other provision at some other time.
- You will comply with all applicable laws, rules and regulations in connection with your use of the Site.
